By accessing or using the Echelon Quantitative platform at echelonquantitative.com (the "Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms in their entirety, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you and Echelon Quantitative Inc., a Delaware corporation with its principal place of business in New York, NY ("Echelon," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform following notice of any modification constitutes your acceptance of the revised Terms. Where a change is material, we will provide at least 14 days' advance notice by email or prominent notice on the Platform.
Echelon Quantitative Inc. provides an intraday estimated net asset value platform ("xNAV") for mutual funds, together with related analytics, attribution data, fund screening tools, and API access (collectively, the "Services"). Services are offered across multiple subscription tiers, including a free tier and paid Premium tiers described on our Pricing page.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice. Echelon shall not be liable to you or any third party for any modification, suspension, or discontinuation of any Service.
Certain features of the Platform require you to create an account. You agree to provide accurate, complete, and current information at registration and to keep that information up to date at all times. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
You must be at least 18 years of age to create an account. You may not share your credentials or permit any other person to access the Platform through your account. You agree to notify us immediately of any unauthorized use of your account by contacting info@echelonquant.com.
Paid subscription plans are billed on a recurring monthly or annual basis as selected at checkout. All fees are denominated in U.S. dollars. By providing a payment method, you authorize Echelon (or its designated payment processor) to charge you the applicable subscription fee on each billing cycle without further authorization.
All fees are non-refundable except as expressly required by applicable law. We reserve the right to change subscription pricing upon at least 30 days' advance written notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect. Cancellation becomes effective at the end of the then-current billing period; access to paid features is maintained through that date.
All content on the Platform — including but not limited to xNAV data outputs, software, source code, algorithms, methodologies, platform design, graphics, text, and the Echelon Quantitative brand and logo — is the exclusive property of Echelon Quantitative Inc. or its licensors and is protected by United States and international intellectual property laws, including copyright, trademark, trade secret, and patent laws.
Subject to your compliance with these Terms, Echelon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes. You may not reproduce, distribute, modify, publicly display, create derivative works from, sell, or sublicense any Platform content without our prior written consent. API access is governed by a separate API License Agreement.
You agree not to use the Platform to:
Violation of these prohibitions may result in immediate termination of your account without notice and may expose you to civil or criminal liability.
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Echelon expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and accuracy of data.
Echelon does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Echelon does not warrant the accuracy, completeness, timeliness, or reliability of any xNAV data, analytics, or other content. Nothing on the Platform constitutes investment advice, a recommendation to buy or sell any security, or a solicitation of any investment. Echelon Quantitative Inc. is not a registered investment adviser, broker-dealer, or commodity trading adviser in any jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECHELON QUANTITATIVE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — including without limitation loss of profits, revenues, data, goodwill, business opportunities, or investment losses — arising out of or in connection with your use of or inability to use the Platform or the Services, regardless of the theory of liability and whether or not Echelon has been advised of the possibility of such damages.
Echelon's total aggregate liability to you for all claims arising out of or relating to your use of the Platform or the Services shall not exceed the greater of: (a) the total amount paid by you to Echelon in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain implied warranties or incidental or consequential damages. To the extent such limitations are not permitted, Echelon's liability is limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Echelon Quantitative Inc. and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) any content you submit, post, or transmit through the Platform; or (e) your infringement of any third-party intellectual property or other rights.
Echelon reserves the right to suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, including for any violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Termination does not entitle you to any refund of prepaid fees.
You may terminate your account at any time by contacting info@echelonquant.com. Sections 3, 6, 8, 9, 10, and 12 of these Terms shall survive any expiration or termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts of competent jurisdiction located in New York County, New York, and you irrevocably consent to personal jurisdiction and venue in such courts.
Class action waiver: Any claims arising under these Terms must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You waive your right to a jury trial to the fullest extent permitted by applicable law.
